📜 Terms and Conditions of Use for Pro Codez SaaS System
Introduction
This agreement includes the terms and conditions of use for the Pro Codez SaaS System (hereinafter referred to as the “Agreement” and/or “Terms and Conditions”), which constitutes a binding agreement between you and [Your Company's Legal Name, e.g., Professional Solutions Software Company], a Saudi limited liability company with Commercial Registration No.: 7015721082.
Your subscription to and use of the services provided by the Pro Codez System confirm your acknowledgment, understanding, and acceptance of these Terms and Conditions.
Definitions
- Pro Codez: Establishment Pro Codez responsible for the management and operation of the Pro Codez SaaS System.
- Pro Codez System / The System / The Service: The cloud-based Pro Codez SaaS System that provides Creating Invoices, Purchase, Expense etc.. accounting, CRM, HR management] services and allows customers and users to record, save, and use their data in the form of Products, Warehouse, Sale, Purchase, Expense, invoices, reports].
- User / Users / You: Customers subscribed to the Pro Codez System.
- Pro Codez Services / Services: Services provided within the Pro Codez System for a specific fee per service.
Eligibility for Services
You represent and warrant the following:
- That your use of or access to the Pro Codez System has never been disabled or prevented at any time.
- That you are not a competitor of Pro Codez, nor do you offer any product competitive with the services provided by Pro Codez.
- That you have the full power and authority to enter into this contract and, in doing so, will not be violating any law or contract.
Covenants and Warranties
You represent and warrant that you will:
- Comply with all applicable laws and regulations in force in the Kingdom of Saudi Arabia.
- Provide Pro Codez with correct and accurate information and update it periodically.
- Review and comply with any notices sent through Pro Codez or mentioned on Pro Codez platforms regarding your use of the Services.
- Not sublicense, issue, publish, transfer, distribute, execute, display, sell, or reclassify Pro Codez services, otherwise, you shall be deemed to have transferred or commercially exploited the Service, except as permitted under this Agreement.
- Use the Service for lawful purposes only and will not use the Services to send or store any unlawful material or for fraudulent purposes.
- Not use the Service to cause harm, harassment, or inconvenience to anyone.
- Pro Codez give online training after subsription and if any client wants visit to their place then client should have pay extra charges for this as transportation, accomadation and food expense etc..
- Not attempt to harm the Service in any way whatsoever.
- Not copy or distribute the System, Services, or other content without obtaining written permission from Pro Codez.
- Maintain the password for your account, or any identification means we provide you that allows access to your account, securely and confidentially.
- Provide us with all evidence that proves your identity according to Pro Codez's sole discretion.
- Pro Codez has the right to refuse to provide the Service or use of the System without stating reasons.
- Not disrupt the proper operation of the Pro Codez System.
Subscription Upgrade and Downgrade Policy

Downgrade for Currently Active Plan:
If the User chooses to **downgrade** their currently active package, the deduction for the period during which the higher-tier package was active (regardless of actual usage) will be calculated based on the **monthly rate** of the higher-tier package.
If the remaining amount after this monthly deduction is insufficient, the User must pay the remaining subscription fee difference to proceed with the lower-tier package subscription.

Annual Plan Downgrade Restrictions:
If a package was purchased for a **full year** (annual subscription), it cannot be **downgraded** during that subscription year. If the User insists on a downgrade, the **full fee for the entire year** must be paid, even if the service was used for only one day.

Package Upgrade Policy:
If the User chooses to **upgrade** their package, the User must pay the **separate fee difference** between the current package and the new, higher-tier package for the remainder of the subscription period.
7. IMPORTANT — Blocking Due to Non-Payment

If full payment is not made:
- ✔ Pro Codez reserves the right to **block the system** at any time.
- ✔ All access to dashboard, modules, or integrations may be **suspended**.
- ✔ Database access, exports, backups, or downloads are **frozen**.
- ✔ No data release is provided until all dues are **cleared**.
Subscription Duration and Access Validity
- The validity of your access to the Pro Codez System is linked to your subscription duration.
- The subscription to the Pro Codez System automatically renews for a similar period. If you do not wish for automatic renewal, you must notify us via customer support channels or by accessing the subscription settings and choosing “Cancel Subscription” and deleting your bank card details at least (5) business days before the end of the subscription period.
- Pro Codez has the right to block your access to the System and the data stored thereon immediately upon the expiry of your subscription period and your unwillingness to renew.
Fees and Payment Terms
- Subscription to the Pro Codez System is available according to specific subscription fees listed on the pricing page.
- You acknowledge that the validity of your access to the Pro Codez System services is contingent upon paying the subscription fees through payment options that include electronic payment or bank transfers to our accounts.
- If you choose to pay the fees via electronic payment, you bear the responsibility for the correctness and accuracy of the entered bank card details, and you agree to the automatic deduction of the subscription renewal fees from the card. If you do not wish for automatic renewal for a similar period, you must delete your bank card details from the Pro Codez System.
- Pro Codez reserves the right to modify the subscription fees from time to time, and modifications take effect from their date. Your continued access to the Pro Codez System indicates acceptance of these price modifications.
- The subscription fee for the Pro Codez System does not include the subscription fees for any of Pro Codez's additional services.
- Pro Codez has the right to suspend the Service at any time without notice due to non-payment or pending payment of subscription fees, whether this relates to the remaining balance after an advance payment or failure to pay monthly fees after the month has ended.
- In case of suspension due to non-payment, Pro Codez reserves the right to block all access to the software, the data within the Service, and the database, and will not provide access or backup until the outstanding payment is made. Pro Codez has the right to suspend all services.
Subscription Fee Refund Policy
The User may submit a subscription fee refund request (“Refund Request”) according to the following conditions:
- Adherence to submission within the following periods:
- Annual Subscriptions: The User has the right to submit a Refund Request for annual subscriptions within 30 days from the date of subscription activation.
- Monthly Subscriptions: The User has the right to submit a Refund Request for monthly subscriptions within 7 days from the date of subscription activation.
- The User has the right to submit a Refund Request for annual or monthly subscriptions at any time if the reason is due to a technical defect that caused the User's complete access to the Service to be disrupted for a period exceeding 24 hours after notifying the technical support team of the defect.
- The User’s right to submit a Refund Request is forfeited if they have benefited from any of the following services:

Steps for Submitting a Refund Request
If you wish to submit a subscription fee refund request, please follow these steps:
- Verify your eligibility to submit the request according to the conditions of the subscription fee refund policy.
- You can submit the Refund Request by contacting the customer support team through the dedicated channels or by accessing the subscription settings page and choosing “Cancel Subscription”.
- Processing the Refund Request takes 3 – 5 business days from the date of submission, and the result of the processing will be one of two cases:
- Request Rejected: If the conditions for submitting the request are not met, the customer support team will inform you of the rejection with an explanation of the reasons.
- Request Completed: If the conditions for submitting the request are met, the customer support team will inform you of the acceptance, and the refund process will be executed within 7-14 business days from the date of notification.
Scope of License
Pro Codez grants you a non-exclusive, non-transferable, non-assignable, non-sublicensable, and irrevocable license to obtain and use our Services only for the specific personal purpose defined in accordance with this Agreement. Therefore, you must:
- Not make the Pro Codez System or its Services available, rent, lease, allocate, resell, distribute, or sublicense the System or Services to any third party.
- Not modify, segment, translate, summarize, or create a derivative work based on decompiling, reverse engineering the design of the Pro Codez System or otherwise identify or attempt to identify or attempt to access the source code or internal design of the System or Services or any text, multimedia (images, audios, video files), data, or other information provided by Pro Codez or third-party service providers.
- Not delete, alter, or otherwise modify any copyright or other official notices contained in the System or Services.
- Not deliberately transfer or distribute the System or Services, or allow their download for use other than as specified herein.
- Not claim to grant or permit access to the Service to anyone other than yourself.
- Not permit the sharing of the username/or password or other credentials for access to the Pro Codez System.
Intellectual Property Rights
All Intellectual Property Rights in the Pro Codez System and its Services and all materials related to or appearing on it (including any content you submit or include) are the property of Pro Codez. You must not reproduce or permit any person – for any reason – to use or reproduce the Services or any trademarks or other trade names appearing in the System.
Indemnification
By agreeing to this Agreement and using the Service, you agree to defend, indemnify, and hold harmless Pro Codez, its affiliates, and its licensors and each of their officers, directors, other users, employees, attorneys, and agents from and against any claims, costs, damages, losses, liabilities, and expenses (including attorneys' fees and costs) arising out of or in connection with:
- Your violation or breach of any term of this Agreement or any applicable law or regulation, whether or not referred to in this Agreement.
- Your violation of any rights of any third party, including third-party service providers contracted with Pro Codez.
- Your misuse of the Service.
Legal Liability
- The information, recommendations, and Services or any of them provided to you on or through the website and the Service are for general informational purposes only and do not constitute advice. Pro Codez will maintain the correctness and update the website, Service, and its contents as much as possible, but it does not guarantee that the (contents of the) website or Service are free of errors, defects, malware, and viruses, nor does it guarantee the correctness, accuracy, and updating of the website and the Service.
- Pro Codez shall not be liable for any damages resulting from the use (or inability to use) the website or the Service, including damages caused by malware or viruses, nor shall it be liable for the incorrectness or incompleteness of the information or the website or the Service, unless such damage is the result of willful misconduct or gross negligence on the part of Pro Codez.
- Pro Codez shall also not be liable for any damages resulting from the use (or inability to use) electronic communication means with the website or the Service, including – but not limited to – damages resulting from failure or delay in delivery of electronic communications or interception or manipulation of electronic communications by third parties or by computer programs used for electronic communications and transmission of viruses.
- Pro Codez strives to provide its electronic services 24 hours/7 days a week throughout the year. In all cases, it does not guarantee the Pro Codez System will fully operate throughout the year, and there will be interruptions for maintenance, periodic updates, or adding new features to the Service.
Modification of Services
Pro Codez reserves the right, at its sole discretion, to at any time:
- Update or modify the Service or any related materials, and/or cease publication of its Services. If Pro Codez decides to cease publication of its Services, it may, at its will, replace the Services with similar materials.
- Modify, change, suspend, or discontinue the Service (including, but not limited to, the availability of any feature, database, or content) at any time, by posting a notice on the website or sending a notice to you through the Service or via email. Pro Codez may also impose limits on certain features and services or restrict your access to parts of the Service or the entire Service without notice or liability.
Limitation of Liability (General)
Pro Codez makes no warranties, express or implied, regarding the System and its Services, as they are all provided “as is”. Security
You acknowledge that you are solely responsible for the privacy of the Services, and you are solely responsible for their use by any other person using your account and/or your username, password, or access credentials. You also agree to notify Pro Codez if you become aware of any loss, theft, or unauthorized use of any password, username, IP address, or other means of accessing the Services.
Dealings with Third Parties
While using the website and the Service, links to websites owned and controlled by third parties may be provided from time to time for the purpose of corresponding with third parties, purchasing products or services from them, or participating in promotions offered by them. These links take you outside the website and the Service, and they are beyond Pro Codez’s control.
The websites you can link to have independent terms and conditions, as well as an independent privacy policy. Pro Codez assumes no responsibility for and cannot be held liable for the content and activities of those websites. Therefore, you assume the full risks resulting from visiting or accessing those websites.
Please note that these other sites may send their own cookies to users or collect their data or request personal information, and therefore, we recommend that you check the terms of use and privacy policies available on those sites before using them.
Termination and Conclusion of the Agreement
- This Agreement terminates upon the expiry of your subscription period to the Pro Codez System and your unwillingness to renew.
- You have the right to terminate the Agreement by canceling your subscription and deactivating your account by notifying us of your wish to cancel via customer support channels or by accessing the subscription settings and choosing “Cancel Subscription”.
- Pro Codez has the right to terminate the Agreement with immediate effect at any time by deactivating your account and blocking your access to the System in any of the following cases:
- Violation or breach of any term of this Agreement.
- If Pro Codez deems that you are misusing the System.
- Due to **non-payment or pending payment** as outlined in the Fees and Payment Terms section above.
- For any other reason subject to Pro Codez’s absolute discretionary authority.
Severability
- Should any of these Terms and Conditions be deemed invalid or unenforceable under a statutory provision or court ruling, this shall not affect the validity or enforceability of the remaining Terms and Conditions.
- In the event that any provision in these Terms and Conditions is void or unacceptable under certain circumstances according to standards of reasonableness and fairness, and only to that extent, a provision shall be implemented instead between the parties that is acceptable considering all circumstances and aligns as closely as possible with the provisions of the void clause, taking into account the content and purpose of this Agreement.
Amendment of Terms and Conditions
These Terms and Conditions may be subject to amendments and updates from time to time, and these amendments shall take effect immediately without prior notice. Your continued access to and benefit from the Service indicates your acceptance of these amendments or updates after they become effective.
Notification
Pro Codez may send a notification by sending a general notice about the Service, or by sending an email to your email address registered in the account information with Pro Codez, or by sending correspondence via ordinary mail to your address registered in the account information with Pro Codez.
Dispute Resolution and Applicable Law
- This Agreement shall be governed by the laws in force and applicable in the Kingdom of Saudi Arabia in its interpretation and in the settlement of any disputes arising therefrom.
- In the event of any conflict or dispute arising regarding the implementation or interpretation of this Agreement, it shall be resolved through amicable negotiations between Pro Codez and the User. If no amicable solution is reached, the dispute shall be referred to the competent court in the Kingdom of Saudi Arabia.

Saudi National Day 2024 Offers Terms and Conditions
National Day Offers for New Customers
- The National Day Offers (“Offers”) for new customers apply to Annual Subscriptions only.
- The customer has the right to upgrade from the [Package Name] package to the [Package Name] package, provided they pay the fee difference.
- Pro Codez reserves the right to modify the Offers, and customers benefiting from the Offers will not be affected by the modifications before they become effective.
- If the customer wishes to integrate with [Specify your Technical Partner, e.g., Gidya]; the customer will receive [Specify the Partner Offer, e.g., the POS device] free of charge for two years.
- The Offers do not apply if the customer renews their subscription after its expiry. If the customer wishes to benefit from the Offers, they have the right to pay the renewal fee during the period the Offers are valid.
- The customer has the right to cancel their subscription and receive a refund within (30) days from the date of subscription.
- After the (30) days period expires, the customer has the right to request a refund for the subscription fees of the second and third years only.
National Day Offers for Existing Customers
- The National Day Offers do not apply if the customer renews their subscription after its expiry. If the customer wishes to benefit from the Offers, they have the right to pay the renewal fee during the period the Offers are valid.
- The customer has the right to cancel their subscription and receive a refund within (30) days from the date of subscription for annual packages only.
- Pro Codez reserves the right to modify the Offers, and customers benefiting from the Offers will not be affected by the modifications before they become effective.
Referral Program:
This is a program that allows Pro Codez customers, in accordance with the Referral Program Policy, to obtain rewards upon inviting a new customer to subscribe to the System, through dedicated referral links provided to each customer.
Referral Program Terms
- Only Pro Codez customers subscribed to paid annual plans can access and use the referral link feature. Users on the free trial period or monthly plans are not eligible to benefit from the program.
- Rewards are available only for organizations that subscribe to an annual plan through the referral link.
- If the user first registers through the referral link for a free trial period, and then upgrades to an annual plan, they become eligible for the referral reward.
- Each successful referral grants the referring customer a discount equivalent to one month’s fees, which is applied to their next annual invoice.
- The referred customer receives a discount equivalent to one month’s fees on their selected annual plan after a successful referral is completed.
- If the referring customer upgrades their plan, the reward amount is applied to adjust the total upgrade cost.
- If the referral rewards fully cover the upgrade cost, all available rewards are redeemed even if the value of the free month exceeds the upgrade cost.
- The value of each reward month is calculated based on the referring customer's current subscription plan at the time the reward is applied.
- If the reward months exceed the number of months required for renewal, only the necessary months are used, while the remaining months remain valid for application in the next renewal cycle. This information is clearly displayed in the subscription settings.
- In the event of a plan downgrade, all remaining reward months are canceled and reset to zero. No refund will be provided for unused reward months after a plan downgrade.
